1. About BoardLocal

BoardLocal is a platform designed to help consumers discover local businesses and participate in local perks and rewards.

BoardLocal may also provide businesses with tools to promote their business, offer perks and rewards, and participate in BoardLocal Boards and other local marketing programs.

BoardLocal is a platform and is not the owner or provider of products, services, discounts, perks, or rewards offered by participating businesses unless expressly stated otherwise.

2. Eligibility

You must provide accurate information when creating an account.

You are responsible for maintaining the confidentiality of your account information and for activity occurring through your account.

BoardLocal is not intended for children under 13.

3. Consumer Accounts

If you create a consumer account, you may be able to:

• Discover participating businesses
• Save perks
• Earn points
• Redeem rewards
• View your reward history
• Manage your saved businesses and offers
• Participate in other BoardLocal features

You are responsible for providing accurate information and keeping your account secure.

4. Business Accounts

Businesses using BoardLocal are responsible for the accuracy of information they provide, including:

• Business information
• Business hours
• Contact information
• Offers
• Perks
• Rewards
• Point requirements
• Expiration dates
• Redemption requirements

Businesses are responsible for honoring valid perks and rewards they publish, subject to the stated terms of those offers.

BoardLocal may remove, modify, suspend, or decline business content that violates these Terms or applicable law.

5. Points and Rewards

Points and rewards are promotional features of BoardLocal.

Unless specifically stated otherwise:

• Points have no cash value.
• Points cannot be exchanged for cash.
• Points cannot be transferred between users.
• Points cannot be purchased from BoardLocal.
• Points do not constitute money or property.
• BoardLocal may establish reasonable rules governing how points are earned.
• BoardLocal may correct inaccurate point balances caused by technical errors, fraud, abuse, or other circumstances.

Participating businesses may establish different point requirements for their rewards.

6. Perks and Offers

Perks and offers are provided by participating businesses.

Each perk may have its own eligibility requirements, restrictions, expiration date, availability, or redemption conditions.

BoardLocal does not guarantee that a particular business will continue offering a perk or reward.

A business may change or discontinue a perk or reward in accordance with the terms displayed to users and applicable law.

7. Prohibited Conduct

You agree not to:

• Use BoardLocal for unlawful purposes
• Create fraudulent accounts
• Manipulate points, rewards, scans, or redemptions
• Attempt to obtain rewards through deception or abuse
• Access another person’s account without authorization
• Interfere with the Services
• Attempt to access systems or data that you are not authorized to access
• Use automated methods to abuse the Services
• Upload malicious code
• Impersonate another person or business
• Submit false business information
• Use BoardLocal to harass, threaten, or harm others
• Violate the rights of BoardLocal, participating businesses, or other users

8. Business Content and Intellectual Property

Businesses remain responsible for the content, logos, photographs, trademarks, and other materials they provide to BoardLocal.

By submitting content to BoardLocal, a business grants BoardLocal a non-exclusive license to use, display, reproduce, modify as reasonably necessary for formatting, and distribute that content in connection with providing and promoting BoardLocal Services.

BoardLocal retains ownership of the BoardLocal platform, branding, software, designs, technology, and other materials created or owned by BoardLocal.

You may not copy, reproduce, modify, distribute, or commercially exploit BoardLocal materials without permission.

9. User Content

If the Services allow you to submit reviews, comments, photos, or other content, you are responsible for that content.

You agree not to submit content that:

• Is unlawful
• Infringes another person’s rights
• Contains malicious code
• Is fraudulent or misleading
• Is abusive, threatening, or discriminatory
• Violates the rights of another person or business

BoardLocal may remove content that violates these Terms or applicable law.

10. QR Codes, NFC, and BoardLocal Boards

BoardLocal may use QR codes, NFC technology, or physical BoardLocal Boards to connect users with digital content.

BoardLocal does not guarantee that every QR code, NFC interaction, physical BoardLocal Board, or linked destination will always be available.

Physical displays may be moved, replaced, damaged, removed, or updated.

11. Third-Party Businesses and Services

BoardLocal may connect you with independent businesses and third-party services.

BoardLocal does not control the products, services, pricing, policies, business practices, or conduct of participating businesses.

Any transaction or interaction between you and a participating business is primarily between you and that business.

12. Availability of the Services

We work to keep BoardLocal available and functioning, but we do not guarantee uninterrupted or error-free operation.

Features may be modified, suspended, or discontinued at any time.

13. Account Suspension or Termination

BoardLocal may suspend or terminate an account if we reasonably believe the account:

• Violates these Terms
• Is being used fraudulently
• Is being used to abuse rewards or points
• Creates a security risk
• Violates applicable law

You may stop using BoardLocal at any time.

Account termination may result in the loss of unused points, saved perks, or other account-associated benefits.

14. Disclaimers

To the extent permitted by law, the Services are provided on an “as is” and “as available” basis.

BoardLocal does not guarantee that:

• The Services will always be available
• Information will always be accurate or current
• Every participating business will remain active
• Every perk or reward will remain available
• A business will honor an offer outside its stated terms
• The Services will be completely free from errors or interruptions

Nothing in these Terms limits rights or protections that cannot legally be limited.

15. Limitation of Liability

To the maximum extent permitted by applicable law, BoardLocal and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Services or interactions with participating businesses.

Nothing in these Terms excludes liability that cannot legally be excluded.

16. Indemnification

To the extent permitted by law, you agree to defend and hold harmless BoardLocal and its owners, employees, contractors, and service providers from claims arising from your unlawful use of the Services, violation of these Terms, or infringement of another person’s rights.

17. Governing Law

These Terms will be governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where applicable law requires otherwise.

18. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we may provide notice through the Services or other reasonable means.

Your continued use of BoardLocal after updated Terms become effective constitutes acceptance of the updated Terms.
